Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Synapse MCP, the website at synapse-mcp.dev, accounts, licensing, and related services provided by Myelix Labs Limited (the “Services”). By creating an account, installing the software, or using the Services, you agree to these Terms.

1. Agreement

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Services.

2. The Services

Synapse MCP is a Model Context Protocol server and related tooling that builds a local codebase knowledge graph for AI coding agents. Myelix Labs Limited also provides a web application for accounts, licensing, billing, documentation, and product information.

  • Free (“Golden Graph”) — core local indexing and search capabilities as described on the website, subject to these Terms and any published usage limits.
  • Pro (“Shadow Graph”) — paid subscription features such as advanced graph exploration, simulated safe writes, crash/trace tooling, and related Pro capabilities as described at the time of purchase.

Features may change over time. We may add, modify, or discontinue functionality with notice when reasonably practical.

3. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials, license keys, and device activation codes, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access. You must provide accurate registration information and keep it up to date.

4. License grant

Subject to these Terms, Myelix Labs Limited grants you a limited, non-exclusive, non-transferable, revocable license to install and use Synapse MCP software for your internal development purposes according to your plan (Free or Pro). Open-source components remain governed by their applicable open-source licenses. Except as permitted by those licenses or applicable law, you may not:

  • Reverse engineer, decompile, or attempt to extract source from compiled proprietary components except where legally allowed
  • Resell, sublicense, or provide the Services as a hosted multi-tenant offering to third parties without our written permission
  • Circumvent licensing, authentication, or usage controls
  • Remove proprietary notices from the software or documentation

5. Acceptable use

You agree not to use the Services to:

  • Violate any law or third-party rights
  • Probe, scan, or attack our systems or other users without authorization
  • Interfere with or disrupt the Services
  • Misrepresent your identity or affiliation
  • Use the Services to develop a competing hosted context engine by abusing our APIs or licensing infrastructure

6. Your content and local code

You retain all rights to your source code and repositories. Local indexing happens on your machine; we do not claim ownership of your code. You are solely responsible for ensuring you have the rights to index and process any repositories you connect to Synapse MCP.

Feedback you provide about the Services may be used by Myelix Labs Limited to improve products without obligation to you.

7. Subscriptions, billing, and cancellation

Paid plans are billed in advance on a recurring basis (for example monthly) through Paddle.com Market Limited (“Paddle”), who acts as Merchant of Record for paid Transactions. Prices are shown at checkout and may change prospectively with notice. Taxes may apply. Your purchase contract for paid Transactions is with Paddle under the Paddle Buyer Terms.

You may cancel a paid subscription through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period unless otherwise stated. Refund eligibility is described in our Refund Policy, which matches Paddle’s refund terms, and where required by law.

We may suspend or terminate access for non-payment, abuse, or material breach of these Terms.

8. Third-party services

The Services may integrate with third-party tools (IDEs, AI agents, payment processors, analytics providers). Those services are governed by their own terms. Myelix Labs Limited is not responsible for third-party products outside our control.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYELIX LABS LIMITED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CODE SUGGESTIONS OR ANALYSES PRODUCED WITH THE HELP OF THE SERVICES WILL BE CORRECT OR SAFE TO SHIP WITHOUT YOUR OWN REVIEW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYELIX LABS LIMITED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MYELIX LABS LIMITED FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID US.

12. Indemnification

You will defend and indemnify Myelix Labs Limited against claims, damages, and expenses arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Services. Upon termination, your license to proprietary components ends, though open-source licenses continue according to their terms. Sections that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Services and cancel any paid subscription.

15. General

These Terms are the entire agreement between you and Myelix Labs Limited regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction require otherwise.
